Basalt End User License Agreement
Effective date: July 17, 2026
This End User License Agreement ("Agreement") is between you and Ramoth Audio ("we", "us") and governs your use of the Basalt software instrument, including its demo mode, documentation, and updates (together, the "Software"). By installing or using the Software, you agree to this Agreement.
1. License grant
Upon purchase of a license key, we grant you a personal, non-exclusive, non-transferable license to install and use the Software on any computers that you personally own and use. The license is per user, not per machine. A single license may not be used by more than one person; studios and institutions must purchase one license for each user.
2. Demo mode
Without a license key, the Software runs in demo mode. Demo mode is fully functional but periodically inserts a short audible noise signal into the audio output. You may use demo mode free of charge, for as long as you like, to evaluate the Software. Projects created in demo mode remain fully usable after a license key is entered.
3. License key
Your license key is personal to you. You may keep backup copies of it. You may not publish, sell, rent, sublicense, or otherwise distribute the key. If we have good reason to believe a key has been published or resold, we may revoke it and, where the circumstances warrant it, replace it for the legitimate owner.
4. Restrictions
- You may not redistribute, resell, rent, lease, or bundle the Software or any modified version of it.
- You may not reverse engineer, decompile, or disassemble the Software, or circumvent its license mechanism, except to the extent applicable law expressly permits despite this limitation.
- You may not remove or alter any proprietary notices in the Software.
Audio you create with the Software is yours. No license fee or attribution is owed for music made with Basalt, commercial or otherwise.
5. Ownership
The Software is licensed, not sold. We, and our licensors for components distributed under their own terms, retain all right, title, and interest in the Software.
6. Updates
We may provide updates at our discretion. Updates within the same major version are free for license holders. Updates may modify or discontinue features. This Agreement covers any updates you install.
7. Warranty disclaimer
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Software will be error-free, uninterrupted, compatible with every system, or that defects will be corrected. Evaluate it in demo mode before purchasing. Nothing in this Agreement affects warranties or consumer rights that cannot be excluded or limited under applicable law.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF, OR INABILITY TO USE, THE SOFTWARE, INCLUDING LOST PROFITS, LOST DATA, OR LOST RECORDINGS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY ARISING OUT OF THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE. Nothing in this Agreement excludes or limits liability for fraud, willful misconduct, or any other liability that cannot lawfully be excluded or limited.
9. Purchases and refunds
FastSpring acts as the authorized reseller and merchant of record for purchases of the Software. FastSpring's Terms of Sale govern the purchase transaction. Refund requests are reviewed case by case through support@ramothaudio.com and, if approved, are processed by FastSpring. Nothing in this section limits any refund or cancellation right required by applicable law or FastSpring's Terms of Sale.
10. Termination
This Agreement terminates automatically if you materially breach it. On termination, you must stop using the Software and delete your license key. Termination does not affect your ownership of audio created with the Software before termination. Provisions that by their nature should survive termination, including ownership, warranty disclaimers, limitations of liability, and rights in created audio, remain in effect.
11. Governing law
This Agreement is governed by the laws of the State of California, United States, and applicable federal law, without regard to conflict-of-law rules. If any provision is held unenforceable, it will be limited or modified to the minimum extent necessary, and the rest of the Agreement will remain in effect.
